Joseph Foss

When your organization arrives at a critical business juncture and must decide which direction to pursue, you require first-hand expertise that fully understands your situation – and has successfully steered other companies through major corporate transitions.

Joe Foss, Managing Director of SC&H Group’s Transition Advisory Services practice, helps companies effectively and proactively navigate change that inevitably occurs throughout the various stages of the business lifecycle. As a former C-suite executive and veteran business leader, Joe leverages his vast knowledge across many business disciplines – and deep experience interacting with corporate boards, investment banks, commercial banks, regulatory agencies, public officials, and the media – to best assist clients facing corporate transition.

Joe advises senior management, boards, and advisors of companies experiencing both turbulence and success through various types of organizational change.  Whether assisting with succession planning, operational improvements, debt refinancing, or business turnarounds, Joe and his team work to maximize and preserve business value.  Transition advisory scenarios where Joe’s assistance is often requested include helping clients access growth capital, developing trusted management strategies when executives know change is necessary in uncertain situations, and redirecting and revitalizing business operations when clients face market shifts or downturns.  Joe combines financial analysis, risk management, and budgeting expertise with a deep understanding and appreciation of operational processes to provide clients with executable business management solutions.  Additionally, he leverages SC&H Group’s deep experience and expertise across many accounting and finance disciplines – tax and audit, business valuation, transaction advisory, strategic planning, capital raising, and wealth advisory, among others – to fully address client issues concerning business continuity, change management, and profitability.

Prior to joining SC&H Group, Joe was Chairman and CEO of a major regional bank.  In this role, Joe turned the multi-billion dollar bank around into a stable, profitable institution that was sold for 1.5 times book value.  He then left banking and became the Vice Chairman and Chief Operating Officer of the Baltimore Orioles.  While there, he negotiated the financing and capital structure for the purchase of the baseball franchise by its current ownership, oversaw the day to day business operations, and started and built the Orioles regional sports network (MASN).  Finally, Joe was the Chief Administrative Officer for a multi-billion dollar real estate developer and operator of senior housing.  In that position, he was responsible for construction and development, sales and marketing, finance, legal, and IT.

Joe serves on numerous Baltimore-area executive boards, and often volunteers his time organizing large events for charitable and educational institutions and endeavors.  His board involvement includes the Kennedy Krieger Institute, for which he chairs the audit and finance committee, the Robert Packard Center for ALS Research at Johns Hopkins, and the Believe in Tomorrow Foundation.  Joe’s past executive board positions include the Maryland Special Olympics, University of Maryland Children’s Hospital, The National Aquarium, Green Door of Washington, D.C., the Children’s Theatre Company of Minneapolis, and the Minneapolis Aquatennial Association. Additionally, Joe volunteers with Lupus Mid-Atlantic, the Maryland Food Bank, Ronald McDonald House, and Our Daily Bread Hot Meal Program in Baltimore.

Joe holds a BA in Business Administration from St. Thomas University, and an MBA in Marketing and Finance from Minnesota State University.  He has been a member of the Robert Morris Associates, for which he has presented on numerous banking and business development topics, and of the Turnaround Management Association.
